Create Music Group Gets $165M Backing From Private Equity Firm Flexpoint Ford

Chicago-based private equity firm Flexpoint Ford said on Tuesday that it invested $165 million in Create Music Group in a funding round that a source said values Create as worth $1 billion.

Create plans to use the money to scale operations, expand services and fund acquisitions, said CEO & founder Jonathan Strauss.

“Flexpoint’s investment will support our ambitious acquisition strategy, which will allow us to expand our market presence and create the scale to continue to provide unparalleled services to our clients and partners,” Strauss said in a statement.

Founded in 2015, Hollywood-based Create Music Group operates the Gen Z-focused digital entertainment and marketing agency Flighthouse and the independent music distribution platform Label Engine, which earlier this year distributed Kanye West and Ty Dolla $ign‘s collaborative album Vultures 1.

Flexpoint Ford is a private equity firm with roughly $8.2 billion in assets under management that invests primarily in financial services and healthcare companies. Last year, it announced investments in Nettwerk Music Group and a “significant investment” in Charles Goldstuck‘s catalog and music assets acquisition company GoldState Music. Goldstuck also participated in Create’s funding round, according to a statement.

“As a media company that offers comprehensive support to artists, including distribution, marketing, financial solutions and audience engagement, Create Music Group has created a blueprint for the future of music,” said Flexpoint Ford managing director Mike Morris.

Create’s financial advisers on the deal were The Raine Group, and Willkie Farr & Gallagher acted as Create’s legal counsel. Flexpoint’s legal counsel came from the firm of Reed Smith.

2024 ARIA Awards Announce Date, Venue

The 2024 ARIA Awards will be staged at Sydney’s Hordern Pavilion for a third successive year, and is set for Nov. 20.

The Australian record industry’s flagship awards ceremony, now entering its 38th edition, also welcomes the return of streaming partner YouTube and live-to-air broadcaster Channel 9, which will beam out a “special presentation” on the night.

The ceremony will premiere live only on Stan, followed by the Channel 9 package, with performances and moments available on-demand on the ARIA YouTube channel. Also, YouTube will exclusively live stream the red carpet and the awards.

“Since 1987,” comments ARIA CEO Annabelle Herd, “the ARIA Awards have represented the pinnacle of achievement in Australian music. The past year has seen a huge number of homegrown Aussie talent making their mark locally and globally and we’re very excited to celebrate these achievements,” she continues.

The Hordern at Sydney’s Entertainment Quarter is one of Australia’s most iconic mid-size venues, one that, this year, celebrates its 100th anniversary.

Trending on Billboard

From its grand opening in 1924 until 1983 (when the now demolished Sydney Entertainment Centre first opened its doors), the Hordern, with its 5,500-capacity, was the largest indoor venue in the country’s biggest city. Its reputation for hosting top-shelf concerts remains very much intact, with the likes of David Bowie, AC/DC, INXS and many others filling the room.

“NSW is already the nation’s capital for recorded music but we want to elevate the industry’s role in our state’s story, which the ARIA Awards do each year by showcasing our world-class talent,” explains minister for the arts, minister for music and the night-time economy and minister for jobs and tourism, John Graham.

“I want to thank ARIA for their advocacy for the industry and for allowing our state to be part of that work.”

Destination NSW, the agency that supports the growth of tourism and events across the state, has struck a renewed partnership as strategic sponsor for the ARIAs.

Adds Melanie Silva, VP at Google Australia: “There’s never been a more important time to spotlight Australian artists and their impact on the global stage.”

The 2024 ARIA Awards event team is led by Roving Enterprises (production), and includes executive producer Craig Campbell and event producers Second Sunday. Twofold Media handles PR and red carpet, and White Noise Agency is tasked with sponsorship. That behind-the-scenes team presented last year’s show, widely credited as one of the best in recent memory.

Performers, nominations, hosts and presenters for the 2024 edition will be announced in due course.

Sabrina Carpenter Eyes Another U.K. No. 1, Chappell Roan Aims for Top 10

Sabrina Carpenter is on track to secure another U.K. No. 1 single, while Chappell Roan looks set to break into the national top 10 for the first time.

Carpenter’s “Please Please Please” (via Island) holds top spot on the midweek U.K. chart and is positioned to take top spot for a second week — positioning Carpenter for another significant career milestone.

The track, produced by Jack Antonoff, is the second single from Carpenter’s sixth studio LP, Short ‘n’ Sweet, which was released June 6, following her previous U.K. No. 1 hit with “Espresso.”

Trending on Billboard

Last Friday, June 21, Carpenter achieved a remarkable feat when “Please, Please, Please” dethroned Eminem’s “Houdini” to secure her second U.K. leader in less than two months, while “Espresso” held strong at No. 2.

The achievement set a new Official Chart record, with Carpenter becoming the youngest female solo artist in history to simultaneously hold the No. 1 and No. 2 spots on the Official Singles Chart, at age 25 years, 1 month, and 10 days old, surpassing Ariana Grande’s previous record.

Grande was 25 years, 7 months, and 20 days old when she achieved the same feat in February 2019 with “7 rings” and “break up with your girlfriend, i’m bored” respectively leading the chart.

Meanwhile, Chappell Roan is making a strong bid for her first U.K. top 10 entry with her single “Good Luck, Babe” (Island), up 16-9 on the chart blast.

The single recently topped the Official Trending Chart, showcasing its growing popularity in the U.K. “Good Luck”, along with her previous hit “HOT TO GO!” from her 2023 debut album The Rise and Fall of a Midwest Princess, has solidified her status as a rising star in the pop scene. “Good Luck, Babe” has spent six consecutive weeks in the top 40, peaking at No. 18.

Roan’s strong social media presence has played a significant role in the single’s success, with “Good Luck, Babe” gaining substantial traction on TikTok with thousands of users featuring the track in their videos.

The Official U.K. Singles Chart will be revealed late Friday, June 30.

Gracie Abrams Tracks to Top U.K. Albums Chart for First Time With ‘The Secret of Us’

Rising singer-songwriter Gracie Abrams is set to claim her first No. 1 album on the Official U.K. Albums Chart with her second studio effort, The Secret of Us.

Midweek sales and streaming figures from the Official Charts Company indicate that the Californian singer’s heartfelt and introspective songs are resonating strongly with U.K. fans, putting her in prime position to clinch the top spot.

The 23-year-old Californian is currently outpacing her closest rival, Taylor Swift – who coincidentally features on the album’s track “us.” – by a margin of more than 2:1.

Trending on Billboard

The Secret of Us (Interscope) follows Abrams’ debut LP, Good Riddance, which peaked at No. 3 last year. The new album was preceded by the single “Close To You,” which recently became Abrams’ first U.K. Top 40 hit, reaching No. 35.

Amid her collaborative track with Taylor Swift dropping on June 21 alongside her 13-track sophomore album, Abrams took to Instagram to share a video of the duo playfully creating their collaborative number, calling the evening “some of the most fun I’ve ever had in my life.”

She also included a video of Swift extinguishing an apartment fire. “Now we know how to use a fire extinguisher. I love you,” Abrams wrote.

As Swift wraps up a three-night stint at London’s Wembley Stadium on her The Eras Tour, several of her former chart-topping albums are also present in the U.K. top 40 midweek.

Other notable appearances on the chart blast include The Mysterines’ second album Afraid of Tomorrows (Fiction) eyeing a No. 3 debut, Charli XCX’s BRAT (Atlantic) looking to log a third consecutive week inside the top 5, and Chappell Roan’s The Rise and Fall of a Midwest Princess (Island) potentially reaching a new peak inside the top 10, at No. 8.

Outside the Top 10, Avril Lavigne’s Greatest Hits (Sony Music CG) is on track for a top 20 debut, Ed Sheeran’s X (Asylum) could re-enter the chart thanks to a 10th-anniversary reissue, and Jethro Tull’s Bursting Out (Parlophone) is predicted to become their 26th U.K. top 40 album.

Joe Bonamassa’s Live At The Hollywood Bowl With Orchestra (Provogue) could become his 17th top 40 collection, Kate Nash’s 9 Sad Symphonies (Kill Rock Stars) approaches her highest-charting LP in 14 years, and The Story So Far are expected to enter with I Want To Disappear (Pure Noise).

All will be revealed when the Official U.K. Albums Chart is published late Friday, June 28.

Sabrina Carpenter Reacts to Her First Hot 100 No. 1: ‘I Will Surely Always Remember This Day for the Rest of My Life!’

It’s officially the Summer of Sabrina, and she’s taking some time to celebrate.

On Monday (June 24), Billboard announced that Sabrina Carpenter scores her first Billboard Hot 100 No. 1 hit this week, with “Please Please Please” rising from No. 2 in its second week. And to add some whipped cream to the top of her latte, Carpenter’s song “Espresso” is also in the top five, sitting at No. 4 (following a No. 3 peak earlier this year).

Carpenter celebrated the news on Instagram, posting a three-item carousel to her feed on Monday. The first photo is the graphic of this week’s Hot 100. Then there’s a video of Carpenter performing the song’s signature claps with co-writer/producer Jack Antonoff and co-writer Amy Allen, plus engineer Laura Sisk off camera.

And finally, there’s an ill-fated quote-tweet from a fan on X that reads of “Please Please Please”: “i dont think ive ever seen someone fumble a second single this hard. my goodness.” Whoops!

Trending on Billboard

“MY FIRST #1 on the @billboard HOT 100!!!!!!!” reads Carpenter’s caption on Instagram. “And espresso at #4.. I’m very immensely grateful so i will surely always remember this day for the rest of my life! @jackantonoff @amyallen i deeply love this song and i love you both!!!!! I love our pitchy claps!!!!! I love @sharp_stick [Sisk] !!!! good things come in three’s. thank you everyone who’s listened and made it so much fun to have these songs out in the world. more to come soon.”

Danielle Fishel — who played Topanga Matthews, the mom of Carpenter’s character’s best friend on Girl Meets World — hit the comments section to applaud the child actor-turned-adult pop star. “The most deserving beautiful (inside and out) bb. I love you forever.”

Meanwhile, over on the Billboard Global 200, Carpenter holds the top two spots with “Please Please Please” and “Espresso,” which was No. 1 last week. On her IG Story, Carpenter simply captioned the chart graphic “Motherf—er!!!!!!!”

“Espresso” and “Please Please Please” are the first two singles from Carpenter’s Short n’ Sweet album, due Aug. 23. She also announced her Short n’ Sweet Tour last week, which kicks off in September.

Believe Buyer Led by Denis Ladegaillerie Holds 95% of Shares After Tender Offer

The consortium acquiring French music company Believe increased its holdings to 94.99% of share equity at the conclusion of the tender offer, the company announced Monday (June 25). That marks a nearly 10% increase from the 85.04% of shares the consortium held a week earlier.

Led by CEO Denis Ladegaillerie, who founded Believe in 2005 to take advantage of the rapidly evolving digital music business, the consortium purchased 19.6 million shares at 15.00 euros ($16.10) per share during the offer, which ran from June 3 to June 21. Combined with blocks of shares previously acquired from investors, the consortium now holds 95.6 million of the 100.7 million shares outstanding. The free float — shares owned by minority investors — is 5.01%. The consortium, which also includes major shareholders EQT and TCV, commands 106.5 million of 113 million — 94.29% — of Believe’s voting rights.

While the consortium does not plan on executing a mandatory squeeze-out for shares not tendered by minority shareholders, because the free float — shares not held by insiders that can be publicly traded — has fallen under 15%, Believe will be de-listed from some stock indexes.

Trending on Billboard

Also on Monday, Believe announced the appointment of Andrew Fisher, a new director representing EQT, after venture capital firm Ventech sold its shares to the consortium and lost a director. Fisher’s ratification will go to a vote in the 2024 annual general meeting. The board additionally appointed two observers: Michael Kalfayan, general partner at TCV, and Nicolas Brugère, partner at EQT.

The consortium announced a takeover bid for Believe in February at 15.00 euros ($16.10), which represented a 21% premium over the prior closing price. According to an offer document, the consortium wants to take over the company “so that it can better execute on its value-creation plan and accelerate the scale-up of an independent player supporting artists and label clients” and “further grow and consolidate its position as a leader in the French and European markets.”

After the Believe board of directors backed the takeover bid on April 19, the consortium purchased a large block of shares from venture capital firms XAnge and Ventech. Before the acquisitions, TCV was the biggest shareholder with 41.1% of share capital, while Ladegaillerie owned 12.5%, private equity firm Ventech owned 12.0%, XAnge owned 6.3% and roughly 3.8% of shares were held by a strategic holding fund and in treasury shares. Free float was 24.4%.

Warner Music Group briefly looked at acquiring Believe in March and estimated a bid of “at least” 17 euros ($18.24) per share, which would have valued the company at 1.65 billion euros ($1.8 billion). But the pursuit was short-lived; Warner dropped out of the running in April.
